SBA Constitution

Section 1: The name of this organization shall be the SUBURBAN BAPTIST ASSOCIATION, hereafter referred to in this document as the “Association”.

Section 2: The purpose of the Association shall be to promote fellowship, unity and greater effectiveness among the member churches in their joint effort to execute the mandates of the “Great Commission” of Jesus Christ.

Section 1: The membership of the Association shall consist of churches of the Suburban Philadelphia Area and other churches recommended by the Executive Board and voted upon by the Association.

Section 2: The duties of the member churches are: to support the Association financially, to support the goals and objectives of the Association and to cooperate with the member churches in order to promote unity and fellowship.

Section 1: The officers of the Association shall be Moderator, First Vice-Moderator, Second Vice-Moderator, Secretary, Corresponding Secretary and Treasurer.

Section 2: The officers shall be elected by majority vote of the Association to serve for a term of three (3) years. The Moderator and the Vice-Moderator shall not succeed themselves.

Section 3: The duties of the Moderator are: to be the overall director of the Association. To provide leadership in setting and reaching stated goals of the Association. To convene the Executive Board and the Association and to represent the Association in its affiliation with related bodies.

Section 4: The duties of the First Vice-Moderator are to assist the Moderator and serve in his absence, to become Moderator in the event that the office becomes vacant during the term – in which case the First Vice-Moderator will serve as Moderator until the term expires, and will be eligible to succeed himself sat the discretion of the Executive Board for one full term.

Section 5: The duties of the Second Vice-Moderator are: to assist the Moderator and cooperate with the First Vice-Moderator in fulfilling those duties assigned by the Moderator. In the event that the First Vice-Moderator becomes Moderator during a term, the Second Vice-Moderator automatically becomes First Vice-Moderator.

Section 6: The duties of the Secretary are: to keep accurate records of the proceedings of the business meetings of the Association and the Executive Board.

Section 7: The duties of the Corresponding Secretary are: to send out notices to all meetings of the Association and the Executive Board; to send out special notices, e.g., thank-you’s, sympathy and get well cards, etc., on behalf of the Association. In general, to be responsible for all correspondence.

Section 8: The duties of the Treasurer are to receive and hold all the finances of the Association in the band or banks on the direction of the Association by recommendation of the Executive Board, to make all payments by check signed by the Treasurer and the Chairman of the Executive Board and to make annual accounting to the Association at its annual meeting.

Section 1: The Association shall be advised by an Executive Board which shall consist of all the officers of the Association and all the Pastors of the member churches. The Board shall also include the President of the Women’s Ministry, the President of the Youth Ministry and the President of the Laymen’s Ministry.

Section 2: The Executive Board shall elect a Chairman from its members at the first meeting following the election of officers of the Association, who will serve for a term not to exceed three (3) years.

Section 1: The Laymen’s Ministry shall consist of representatives from all the member churches.

Section 2: The Laymen’s Ministry shall have power to choose and elect their own officers.

Section 3: The Laymen’s Ministry shall be integral to the Association.

Section 1: The Women’s Ministry shall consist of women from all the member churches.

Section 2: The Women’s Ministry shall have the power to choose and elect their own officers.

Section 3: The Women’s Ministry shall be integral to the Association.

Section 1: The Youth Ministry shall consist of youth from all the member churches under the supervision of the Youth Director who shall be appointed by the Moderator.

Section 2: The Youth Ministry shall have the power to choose and elect their own officers.

Section 3: The Youth Ministry shall be integral to the Association.

Section 1: An Ordination Council shall be called by the Moderator upon the request of a member church.

Section 2: The Ordination shall examine the applicants for ordination and give the final approval.

Section 3: To be eligible for Ordination, a candidate must: be “Called” to the Gospel Ministry; be a member in good standing with a member church of the Association; be recommended for ordination by the member church; show evidence of formal training for the Gospel Ministry and/or involvement in a program of continuing education.

Section 1: A Member Church may voluntarily withdraw its membership in the Association by submitting to the Moderator a written notice outlining the reason/s for its action.

Section 2: The Association may terminate the membership of a church in the event of irreconcilable doctrinal differences. The matter shall be brought to the Executive Board which shall review the case and submit its recommendation to the Association at the following regular meeting.

Section 1: The Annual Meeting of the Association shall be held on Wednesday, Thursday, Friday and Saturday after the third Sunday in October.

Section 2: The Association may hold other meetings as deemed necessary by the Moderator and the Executive Board.

Section 1: This CONSTITUTION may be amended by a two-thirds majority vote of the delegates present for the meeting previously announced.

Section 2: The Amendment shall be designed by a Constitution Committee appointed by the Moderator, and shall be circulated to all the member churches at least three (3) months in advance of the meeting in which it is to be voted upon.

Section 2: The officers shall be elected by majority vote of the Association to serve for a term of three (3) years. The Moderator and Vice-Moderator shall be permitted to succeed themselves by the majority vote of the Association from one to three years for a second term, after which they cannot succeed themselves. During the second term, the majority vote of the Association will be required for each year up to three years for the Moderator and Vice-Moderator to succeed themselves.

Executive Board

Section 1: The Association shall be advised by an Executive Board which shall consist of all the officers of the Association and all the Pastors of the member churches or representative appointed by the Church or Pastor. The Board shall also include the Field Representative, President of the Women’s Ministry, President of the Youth Ministry, President of the Laymen’s Ministry and President of the Minister’s Conference.
